1. Agreement
These Terms of Service apply to the use of the Sankofa Tech Labs website and to services supplied by Sankofa Tech Labs. By engaging us, you agree to these terms together with any proposal, statement of work, or written agreement that describes the specific engagement.
2. Services
Our services may include product discovery, software design and development, web and mobile applications, enterprise systems, APIs and integrations, automation, data work, artificial intelligence, technical consulting, maintenance, and support.
The exact services, deliverables, milestones, assumptions, dependencies, and acceptance criteria will be set out in writing before a project starts. We may use employees, contractors, and trusted service providers to deliver the work while remaining responsible for managing the agreed engagement.
3. Fees and payment
Fees, taxes, payment currency, payment milestones, and any approved payment method will be stated in the applicable proposal or invoice. Unless the written agreement says otherwise, work may be paused when an undisputed invoice is overdue.
Payment links or checkout services provided through Paystack are subject to Paystack's applicable terms and policies. A payment receipt does not change the agreed scope or grant rights beyond those described in the project agreement.
4. Client responsibilities
The client will provide accurate information, timely decisions, access to relevant systems, content, credentials, approvals, and people needed to complete the work. Delays or changes caused by missing inputs may affect the schedule, cost, or deliverables.
The client is responsible for confirming that its instructions, data, content, and materials may lawfully be used and for maintaining appropriate backups and access controls for systems it owns.
5. Ownership and third-party tools
Unless the project agreement says otherwise, upon full payment the client receives the agreed rights to the custom deliverables created specifically for the client. Sankofa Tech Labs retains ownership of its pre-existing tools, methods, templates, know-how, reusable components, and general skills.
Third-party software, open-source packages, cloud services, AI models, fonts, and other external materials remain subject to their own licence or service terms. We will identify material third-party dependencies where relevant.
6. Confidentiality
Each party will protect confidential information received from the other and use it only for the agreed engagement. This obligation does not apply to information that is public without breach, already known lawfully, independently developed, or required to be disclosed by law.
7. Changes and cancellation
Changes to scope should be agreed in writing. A change may affect fees, timing, assumptions, or deliverables. Either party may end an engagement in accordance with the applicable proposal or written agreement. The client remains responsible for approved work completed and non-cancellable commitments up to the effective end date.
8. Warranties and availability
We will perform agreed services with reasonable care and skill. Unless expressly stated in writing, software and services are provided without a guarantee that they will be uninterrupted, error-free, or suitable for an unstated purpose. No website content is a substitute for professional legal, financial, medical, or regulatory advice.
9. Liability
To the maximum extent permitted by applicable law, neither party will be liable for indirect, incidental, special, consequential, or loss-of-profit damages arising from an engagement. Any specific liability cap or remedy will be stated in the applicable written agreement.
10. Governing law and contact
